"Directors Discussing Diversity"
Abstract: How important is diversity? We analyze 5,298 board meeting minutes from UK hospital trusts to examine directors’ incentives to discuss diversity. Our findings suggest that discussing diversity is costly to minority directors. Implicit authority, e.g. seniority, reduces these costs. Explicit authority, such as an HR function, predicts diversity discussions better than demographic characteristics. Public attention and diversity regulation also reduce costs and empower HR directors. Board diversity appears less important for board decisions than board-level engagement on the topic. Our results highlight that relying on lived experience may not be sufficient to achieve organisational inclusiveness goals.
