(Title):  ”Corporate Governance: How Diverse Boards Create and Protect Corporate Value”

Abstract : Corporate governance is the discipline that ensures companies are well‑run, accountable, and capable of making decisions that create and protect long‑term value. Strong governance protects organizations from strategic blind spots, unmanaged risks, and the complacency that often emerges when boards become too harmonious or too deferential. While the merits of cognitive diversity (diversity in thought resulting from different backgrounds, ethnicities, gender and experiences) are well documented, in Japan and around the world, companies continue to prioritize “harmony” and “like-mindedness” over diverse perspectives. This harmony often comes at the expense of risk oversight and innovation. In this session we will review the foundations of corporate governance and where cognitive diversity is critical. We’ll review how lack of cognitive diversity on the board can be a warning sign, as well as analyze board practices from nominations to meeting agendas and structures that both strengthen or weaken risk oversight.
